AN ORDINANCE FIXING THE RATE AND TAX LEVY FOR THE CITY OF ALTON, TEXAS FOR THE FISCAL YEAR BEGINNING OCTOBER 1, 2011 AND ENDING SEPTEMBER 30, 2012, UPON ALL TAXABLE PROPERTY IN SAID CITY OF ALTON, TEXAS IN CONFORMITY WITH THE LAWS OF THE STATE OF TEXAS AND THE ORDINANCES OF SAID CITY; AND PROVIDING FOR A WAIVER OF SECOND AND THIRD READING; AND REPEALING ALL ORDINANCES OR PARTS OF ORDINANCES IN CONFLICT THEREWITH.

AN ORDINANCE OF THE CITY COMMISSION OF THE CITY OF ALTON, TEXAS, (“CITY”) APPROVING A NEGOTIATED RESOLUTION BETWEEN THE CITIES SERVED BY TEXAS GAS SERVICE (“CITIES”) AND TEXAS GAS SERVICE (“TGS” OR “THE COMPANY”) REGARDING THE COMPANY’S APRIL 28, 2011 COST OF SERVICE ADJUSTMENT (“COSA”) FILING; DECLARING EXISTING RATES TO BE UNREASONABLE; ADOPTING TARIFFS THAT REFLECT RATE ADJUSTMENTS CONSISTENT WITH THE NEGOTIATED SETTLEMENT AND FINDING THE RATES TO BE SET BY THE ATTACHED TARIFFS TO BE JUST AND REASONABLE; PROVIDING FOR THE RECOVERY OF THE CITIES’ AND TGS’ REASONABLE AND NECESSARY RATE CASE EXPENSES; ADOPTING A SAVINGS CLAUSE; DETERMINING THAT THIS ORDINANCE WAS PASSED IN ACCORDANCE WITH THE REQUIREMENTS OF THE TEXAS OPEN MEETINGS ACT; DECLARING AN EFFECTIVE DATE; WAIVING SECOND AND THIRD READING; REPEALING ANY PRIOR ORDINANCES INCONSISTENT WITH THIS ORDINANCE AND REQUIRING DELIVERY OF THIS ORDINANCE TO THE COMPANY AND CITIES LEGAL COUNSEL.

ORDINANCE 2011-10

Adoption of Ordinance 2011-10, an ordinance authorizing the issuance of “City of Alton, Texas General Obligation Refunding Bonds, Series 2011” in a maximum par amount of $5,000,000, at an interest rate (NIC) to not exceed 5% and achieving a minimum present value savings of 3%; approving and authorizing the execution of a paying agent/registrar agreement, an official statement or a purchase and investment letter and other instruments and procedures related thereto; delegating authority to the Mayor and the City Manager (either one duly authorized to act on his own) to select outstanding bonds to be refunded and to decide whether it is a negotiated, competitive or privately placed financing; calling certain bonds for redemption and approving all final terms of the bonds.
