NOTICE OF PUBLIC HEARING
TEXAS REGIONAL CULTURAL EDUCATION
FACILITIES FINANCE CORPORATION
(ZOE LEARNING ACADEMY)
Notice is hereby given of a public hearing to be held on behalf of the Texas Regional Cultural Education Facilities Finance Corporation (the “Issuer”) on Friday, December 16, 2011, at 10:00 a.m. at the offices of the Mission Economic Development Corporation, 901 Business Park Drive, Suite 200, Mission, Texas 78572 with respect to the captioned bonds (the “Bonds”) to be issued in a principal amount not to exceed $10,000,000 by the Issuer.
The proceeds of the Bonds will be used by Zoe Learning Academy, Inc., a Texas non-profit corporation (the “School”) to pay the costs of certain educational facilities, as follows: (i) financing certain costs for site improvements, design, construction, renovation, and/or equipment of educational facilities at the new campus located at 12707 Cullen Boulevard, Houston, Texas 77047, including the acquisition, renovation and rehabilitation of an approximately 27,000 square foot building and gymnasium located on approximately 5 acres; (ii) financing certain costs for site improvements, design, construction, renovation, and/or equipment of educational facilities at the campus located at 6701 Cullen Boulevard, Houston, Texas 77021, including the renovation and rehabilitation of an approximately 15,000 square foot building and temporary buildings located on approximately 1.5 acres (collectively, the “Project”); (iii) funding a debt service reserve fund or the purchase of a reserve fund surety policy or reserve fund guaranty; (iv) paying capitalized interest on the Bonds; and (v) paying a portion of the costs of issuance of the Bonds. The initial and exclusive operator of the Project and the educational facilities is and will be the School.
The public hearing will be conducted by Alex Meade (the “Hearing Officer”). All interested persons are invited to attend such public hearing to express their views with respect to the above-described project and the Bonds.
