NOTICE OF PUBLIC HEARING
MISSION ECONOMIC DEVELOPMENT CORPORATION
SOLID WASTE DISPOSAL REVENUE REFUNDING BONDS (REPUBLIC SERVICES, INC. PROJECT) SERIES 2012

Notice is hereby given of a public hearing to be held on behalf of Mission Economic Development Corporation, the City of Mission, Texas and Hidalgo County, Texas on Friday, July 6, 2012, 2012 at 10:00 a.m., in offices of the Mission Economic Development Corporation (the “MEDC”) at 901 Business Park Drive, Suite 200, Mission, Texas 78572 with respect to a plan of finance including one or more series of bonds (the “Bonds”) to be issued in an aggregate principal amount not to exceed $56,800,000 by the MEDC. The proceeds of the Bonds will be loaned to Republic Services, Inc. (the “Borrower”), for the purpose of refunding the MEDC’s Solid Waste Disposal Revenue Bonds (Allied Waste North America, Inc. Project) Series 2007A (the “Series 2007A Bonds”).

The proceeds of the Series 2007A Bonds were loaned to Allied Waste North America, Inc. (now a wholly-owned subsidiary of the Borrower) to be used to finance certain capital improvements to and equipment acquisitions for its solid waste collection and disposal operations at each of the following locations (collectively, the “Project”): (1) collection facility located at 4831 East 25th Avenue, Amarillo, Potter County, Texas 79103; (2) landfill facility located at 7000 Interstate Highway 10 East, San Antonio, Bexar County, Texas 78219;(3) collection facility located at 440 Heath Lane, Jacksonville, Cherokee County, Texas 75766; (4) landfill facility located at 440 Heath Lane, Jacksonville, Cherokee County, Texas 75766; (5) collection facility located at 2501 South Business 45, Corsicana, Navarro County, Texas 75110; (6) hauling facility located at 3029 South 15th Street, Corsicana, Navarro County, Texas 75110; (7) collection facility located at 4414 Agnes Street, Corpus Christi, Nueces County, Texas 78405; (8) landfill facility located at 801 East College Street, Lewisville, Denton County, Texas 75057; (9) landfill facility located at 3935 Avenue A, Alta Loma, Galveston County, Texas 77510; (10) landfill facility located at 1102 Landfill Road, Longview, Gregg County, Texas 75603; (11) collection facility located at 2611 North State Highway 42, Building B, Kilgore, Gregg County, Texas 75662; (12) collection facility located at 5226 US Highway 175 East, Athens, Henderson County, Texas 75752; (13) landfill facility located at FM 493 Mile 12 Road East, Donna, Hidalgo County, Texas 78537; (14) collection facility located at 2559 FM 66, Itasca, Hill County, Texas 76055; (15) landfill facility located at 2559 FM 66, Itasca, Hill County, Texas 76055; (16) collection facility located at 13630 Fondren Road, Houston, Harris County, Texas 77085; (17) collection facility located at 5301 Brookglen Drive, Houston, Harris County, Texas 77017; (18) collection facility located at 5757 Oates Road, Suite A, Houston, Harris County, Texas 77078; (19) landfill facility located at 5757 Oates Road, Suite A, Houston, Harris County, Texas 77078; (20) collection facility located at 8101 E. Pleasant, Titus County, Texas 75456.

The initial owners and/or operators of the Project will be the Borrower and/or its wholly-owned affiliates. The aforesaid public hearing is a “combined hearing” within the meaning of Section 5f.103-2(d)(2) of the Treasury Regulations, and the location of said public hearing is within 100 miles of the seat of government of each participating governmental unit beyond whose geographic jurisdiction the hearing is conducted. This notice is published and the hearing is to be held in satisfaction of the requirements of Section 147(f) of the Internal Revenue Code of 1986, as amended.
